Terms of Service

1. Agreement and changes

By using AxisTrade or this website you accept these terms and our Privacy Policy. If you do not agree, do not use the service. We may update these terms from time to time; we will post the updated version on this page and note the date above, and for significant changes we will give you notice in the app. Continuing to use AxisTrade after a change takes effect means you accept the updated terms.

2. What AxisTrade is — and is not

AxisTrade records your sales, stock, credit, and money out. It records the payments you take — cash, mobile money, or credit — but it never moves, holds, or processes money on your behalf. AxisTrade is not a bank, a wallet, or a payment processor.

3. Accounts and eligibility

To use AxisTrade you must be a shop owner, or a staff member invited by an owner. You sign in with your phone number and an 8-digit passcode you choose. Each owner account runs one business in this version. You must be at least 18 years old. Keep your passcode safe: you are responsible for activity under your account, and owners are responsible for the activity of the staff they invite.

4. Acceptable use

Use AxisTrade only for lawful business records. Do not reverse-engineer, scrape, or resell the service, do not attempt to breach its security, and do not interfere with its operation or other users' use of it.

5. Subscriptions and billing

AxisTrade offers a Start plan and paid plans. Paid plans are billed in advance — monthly, or for a 6-month or annual term — and payments are processed either through Paystack (mobile money or card) or as an in-app purchase through the Apple App Store or Google Play, in which case the subscription is managed by RevenueCat and governed additionally by the applicable store's terms.

• Each paid plan is charged in advance for the upcoming billing term and renews automatically until cancelled.
• Refunds follow the rules of the channel you purchased through — Paystack, the Apple App Store, or Google Play.
• If a renewal payment fails, your workspace enters a short grace period during which we attempt to collect payment. Subscriptions purchased through an app store follow that store's renewal and grace policies.
• If payment is still not received after the grace period, the workspace moves to read-only access — your data remains intact and viewable — until the outstanding amount is paid.
• Billing, plan changes, and cancellations are managed only by the Owner account from Settings → Billing. Subscriptions purchased through an app store are cancelled through that store's subscription settings.

Some plans include a number of branches and staff accounts; additional branches or staff accounts are charged as a monthly add-on, shown to you before you pay. Add-on charges are recalculated at the start of each billing period from the number of branches and staff accounts on your business at that time. They are billed monthly even where the plan itself is paid six-monthly or annually, and they are not refunded if you remove a branch or staff account part-way through a period.

6. Your data

Your business records are yours. You grant Vaelos Labs, LLC a limited licence to host and process them solely to run the service for you — nothing more. We never sell your business records. How we handle personal data is described in the Privacy Policy.

7. Feedback

If you send us suggestions or feedback, we may use them to improve AxisTrade without any obligation to you.

8. Intellectual property and licence

The AxisTrade app, this website, and the AxisTrade brand belong to Vaelos Labs, LLC. We grant you a limited, non-transferable, revocable licence to use the app for your own business. No other rights are granted.

9. Not professional advice

AxisTrade's reports, AI digests, and chat answers are informational and are computed from the records you yourself enter. They are not financial, tax, or legal advice. You remain responsible for your own tax and regulatory compliance.

10. App stores

The iOS and Android builds of AxisTrade are distributed through Apple's App Store and Google Play under those stores' terms. Apple and Google are not responsible for AxisTrade and provide no warranty or support for it. For the iOS app, Apple is a third-party beneficiary of these terms and may enforce them against you.

11. Disclaimers, liability, and indemnity

AxisTrade is provided "as is". It is built offline-first so your shop can keep recording through connectivity interruptions, but we do not guarantee uninterrupted or error-free operation, and syncing depends on your device and connectivity.

To the maximum extent the law allows, Vaelos Labs, LLC is not liable for indirect or consequential losses — including lost profits or lost data — arising from your use of AxisTrade, and our total liability for any claim is capped at the fees you paid us in the 6 months before the claim arose. You agree to indemnify us against claims arising from your unlawful use of the service or your breach of these terms.

12. Termination, governing law, and general terms

You may stop using AxisTrade at any time and delete your account in the app; your data is then handled as described in the Privacy Policy. We may suspend or terminate your access if you breach these terms, with notice where practicable.

These terms are governed by the laws of the State of Delaware, USA. But nothing in these terms takes away rights you cannot waive under the law of your own country, and personal data stays governed by Ghana's Data Protection Act, 2012 (Act 843) where it applies.

If any part of these terms is found unenforceable, the rest remains in effect. We may assign these terms to an affiliate or to a successor of our business; you may not assign them without our consent. These terms and the Privacy Policy are the entire agreement between you and us about AxisTrade. Questions? Email [email protected].
